1. PURPOSE

SIREXE INVEST is the official networking platform connecting project developers, investors and strategic partners in the mining, oil, gas, energy and related sectors.

2. ELIGIBILITY

The following may participate in SIREXE INVEST:

* Public and private enterprises; ;
* SMEs and startups; ;
* Individual project promoters; ;
* Cooperatives; ;
* Public institutions; ;
* Research and innovation centres.

3. ADMISSION CRITERIA

The project leader undertakes to:

* Provide accurate, honest and complete information; ;
* Hold the rights to the submitted project; ;
* Submit the requested documents within the specified timeframes; ;
* Comply with the submission and selection procedures.

4. SELECTION PROCESS

Projects follow a three-stage qualification process:

1. Administrative admissibility; ;
2. Technical and financial qualification; ;
3. Integration into the Data Room for qualified investors.

SIREXE INVEST does not guarantee that a project will be selected or financed.

5. PRIVACY

SIREXE INVEST guarantees the protection of project developers' strategic information.

As such:

* Sensitive information is protected; ;
* Access to confidential documents is restricted to qualified investors; ;
* A Non-Disclosure Agreement (NDA) is signed prior to any access to the Data Room; ;
* Access is secured, controlled and tracked.

6. INVESTOR COMMITMENTS

Investors undertake to:

* Use the information exclusively for the purpose of project evaluation; ;
* Respect confidentiality agreements; ;
* Do not reproduce, communicate or distribute the received documents without prior authorization.

7. INTELLECTUAL PROPERTY

Intellectual property rights remain the exclusive property of the project sponsor.

Participation in SIREXE INVEST does not entail any transfer of intellectual or industrial property.

8. DATA PROTECTION

Personal and professional data are processed in accordance with applicable regulations and exclusively for the operational needs of SIREXE INVEST.

9. LIABILITY

SIREXE INVEST acts as a facilitator and trusted third party.

It guarantees neither:

* the reaching of an agreement between the parties; ;
* securing funding; ;
* nor the economic success of the projects presented.

10. ETHICS AND COMPLIANCE

Participants agree to respect:

* The laws and regulations in force; ;
* Anti-corruption and money laundering regulations; ;
* The principles of transparency, integrity and good governance.

11. ACCEPTANCE

Any registration for SIREXE INVEST constitutes full and unreserved acceptance of these General Terms and Conditions of Participation.
